GENERAL
These terms constitute the End User License Agreement (“EULA”) for Relay Convert. They form a legally binding agreement between the individual using the Software (“you” or the “User”) and the provider of the Software (“Company,” “we,” “us,” or “our”).
Relay Convert is software designed to perform document-processing functions, including converting files submitted by users into editable file formats and providing related functionality and services (collectively, the “Software”). This EULA applies to your download, installation, access to, and use of the Software.
AGREEMENT TO THESE TERMS
Before using Relay Convert, you should carefully review this EULA. By installing, downloading, accessing, or otherwise using the Software, you acknowledge that you understand these terms, accept them, and agree to comply with all laws applicable to your use of the Software.
You should not use the Software if you do not accept this EULA. In that event, you must cease using Relay Convert and uninstall or remove it from any device on which you have installed or used it.
We may revise this EULA periodically. A revised version becomes effective when it is published, and your continued use of Relay Convert following publication of the revised terms means that you agree to those changes. The current version of the EULA will be accessible through our Website, available here. You can identify the date of the latest revision by referring to the “Last Updated” date displayed at the beginning of the EULA.
Your privacy is important to us. Certain information concerning you or your use of Relay Convert may be collected, maintained, and processed when you interact with the Software. Additional information regarding these practices is provided in our Privacy Policy (“Privacy Policy”). Personal Data will be handled as described in the Privacy Policy, including any future revisions to that policy.
RELAY CONVERT SERVICES
Relay Convert provides functionality that allows files to be converted between supported file formats.
Before uploading or submitting a file, you are responsible for making sure that you are legally entitled to use that file and to have it processed through the Software.
Relay Convert is provided for individual, personal, and non-commercial use.
Files submitted for conversion, as well as files generated as a result of conversion, are not retained, hosted, or stored by the Company. Once a converted file becomes available, you are responsible for downloading and preserving it. We accept no liability for files or data that are lost or that you fail to download, save, or back up.
As long as you comply with this EULA, we authorize you to install and use Relay Convert under a personal license that is limited, revocable, non-exclusive, non-transferable, non-assignable, and non-sublicensable. This license is provided exclusively for the personal and non-commercial purposes described in this EULA.
When you submit a file to Relay Convert, you give the Company a limited right to process that file only to the extent required to provide the conversion you requested. No broader right to your uploaded files is granted by this provision.
We determine which features, options, settings, pricing arrangements, and tools are offered through Relay Convert. At our discretion, we may introduce new functionality or modify, repair, update, upgrade, enhance, replace, restrict, suspend, remove, or discontinue existing functionality. Such changes may be temporary or permanent and may occur with or without notice. The Company will not incur liability solely because such a change has been made.
An internet connection may be necessary for some or all functionality offered through Relay Convert. As a result, unavailable, interrupted, or unreliable internet access may affect your ability to access the Software or use particular features.
Only the rights expressly stated in this EULA are granted to you. Every other right is retained by the Company and/or the applicable licensors.
Relay Convert and its underlying technology are proprietary. Ownership of the Software remains with the Company and/or its licensors. The terms of this EULA extend to the entire Software offering, including its individual features, modules, services, functions, and components.
The Company or its licensors own the intellectual property rights associated with Relay Convert and its related materials. These rights include, among other things, rights relating to the Software’s source code, technology, trademarks, branding, logos, graphics, designs, and written content. Your use of Relay Convert does not give you an ownership interest in the Software or any related intellectual property.
EXTERNAL AND THIRD-PARTY MATERIALS
From time to time, Relay Convert may make third-party websites, links, services, or content available or accessible to users.
These resources are provided or operated independently of the Company. We do not own or control them and do not make representations regarding their legality, accuracy, reliability, operation, or continued availability.
If you choose to visit, access, use, or otherwise interact with third-party content or services, you do so at your own discretion and assume the associated risks. Separate terms of service, privacy policies, or other rules established by those third parties may apply.
YOUR RESPONSIBILITIES
You remain fully responsible for anything you upload, submit, or make available through Relay Convert.
By submitting content through the Software, you represent and warrant that you possess all permissions, rights, authorizations, and consents necessary to submit that content and permit the requested processing. You also represent and warrant that neither the content itself nor its processing through Relay Convert violates applicable law or infringes, misappropriates, or otherwise violates another person’s or entity’s rights.
You also represent that you are permitted to use the device from which you access Relay Convert, that you have the legal capacity to accept and be bound by this EULA, and that your use of the Software and acceptance of these terms are not prohibited by law, regulation, court order, or another binding legal restriction.
You must use Relay Convert in accordance with this EULA and any instructions we may provide concerning the Software.
In particular, you agree not to:
- copy, reproduce, distribute, resell, sublicense, rent, lease, commercially exploit, or otherwise redistribute the Software or any portion of it;
- alter the Software or attempt to discover its source code through reverse engineering, decompilation, disassembly, or similar techniques;
- defeat, avoid, circumvent, disable, or interfere with security controls, technical restrictions, access protections, or other safeguards associated with the Software;
- employ Relay Convert in connection with malicious, deceptive, fraudulent, abusive, or harmful conduct;
- use the Software for illegal, fraudulent, deceptive, or harmful purposes; or
- engage with the Software in a manner that violates this EULA or any applicable legal or regulatory requirement.
Failure to observe these restrictions may cause your access to Relay Convert to be suspended or terminated immediately. Depending on the circumstances, a violation may also give rise to legal liability.
INDEMNITY
You agree to protect, indemnify, defend, and hold harmless the Company and its affiliates, together with their respective employees, directors, officers, representatives, and agents, against claims, damages, liabilities, losses, expenses, and costs, including reasonable legal fees, resulting from or connected with:
(i) your use of or access to Relay Convert;
(ii) any violation or breach of this EULA by you; or
(iii) your violation of applicable law or regulation or of the rights of a third party.
NO WARRANTIES; LIMITS ON LIABILITY
Relay Convert is offered on an “as is” and “as available” basis. To the greatest extent allowed by applicable law, no warranties are provided, whether express, implied, statutory, or otherwise. This disclaimer includes warranties of merchantability, fitness or suitability for a particular purpose, title, and non-infringement.
We do not promise that Relay Convert will always be accessible or function without interruption or error. We also do not guarantee that the Software will be free from harmful or malicious code, operate correctly with every device or configuration, remain available at any specific place or time, or fulfill your individual requirements.
You assume the risks associated with installing, accessing, and using Relay Convert.
Where permitted by law, the Company will not be liable for indirect, incidental, consequential, special, or similar damages arising from your use of Relay Convert or from your inability to use or access it.
Regardless of the basis of a claim, the Company’s total aggregate liability will not exceed the lower of the following amounts:
(i) ten United States dollars (USD $10); or
(ii) the amount that you actually paid for Relay Convert.
Relay Convert must not be relied upon as a storage, hosting, backup, or archival service. Responsibility for downloading, saving, maintaining, and creating backups of your files and converted output rests entirely with you.
EVENTS OUTSIDE OUR CONTROL
We are not liable for a failure or delay in performing obligations under this EULA when that failure or delay results from circumstances outside the Company’s reasonable control.
Such circumstances may include natural disasters, acts of God, governmental actions, armed conflict or war, terrorism, labor disputes, technical system failures, power interruptions, telecommunications failures, and interruptions to internet services.
CHANGES AND UPDATES TO THE SOFTWARE
We may periodically modify Relay Convert or deploy updates, patches, upgrades, enhancements, or other changes. These modifications may be made for reasons including security, performance, functionality, product improvement, or monetization.
By continuing to use Relay Convert, you agree to receive such modifications and updates.
Changes to the Software may occasionally result in temporary interruptions, changes in functionality, or compatibility issues. The Company is not responsible for such consequences resulting from an update or modification.
ENDING THIS AGREEMENT
This EULA continues to govern your use of Relay Convert until it is terminated.
You can end the agreement whenever you wish by uninstalling Relay Convert and ceasing to use it.
Relay Convert may generally be removed using the normal software-removal functionality provided by your operating system or device. Depending on your system, this will usually involve the following process:
- Open the device’s system settings or Control Panel.
- Go to the area where installed applications and programs are managed, such as “Programs” or “Programs and Features.”
- Find Relay Convert in the list of installed software.
- Select Relay Convert and choose the uninstall or removal command.
We reserve the right to suspend or terminate your access to Relay Convert immediately and at any time, with or without advance notice, if you fail to comply with this EULA or if we determine that your continued use could create a risk for the Company or another party.
Once this EULA is terminated, the license and all other rights provided to you under it end immediately. You must then stop using the Software.
The Company is not liable to you or anyone else as a result of a suspension or termination carried out under this Section.
Terms that are intended by their nature to remain effective after termination will continue to apply.
ADDITIONAL TERMS
If a court or other competent authority finds any individual provision of this EULA invalid or unenforceable, the remainder of the EULA will continue to be valid and enforceable.
The Company’s decision not to enforce a particular provision or right on one occasion does not waive that provision or right and does not prevent the Company from enforcing it later.
You cannot assign or transfer any right or obligation arising under this EULA unless you first obtain the Company’s written consent.
The Company may assign or transfer some or all of its rights or obligations under this EULA without restriction.
APPLICABLE LAW AND DISPUTES
The laws of the State of Israel govern this EULA and its interpretation.
Any dispute, action, or claim connected with this EULA will be resolved exclusively by the competent courts located in Tel Aviv, Israel.
Any claim must be commenced no later than twelve (12) months after the date on which that claim arose. If a claim is not filed within this period, it will be permanently barred.
